About
Charles J. Morrow is a business and real estate lawyer specializing in the negotiation and documentation of complex corporate transactions and strategies in an efficient, proactive, and organized manner. He regularly counsels entrepreneurs and business owners in all phases of the business life-cycle, from formation through the sale of the business, with a solutions-oriented approach.
Mr. Morrow was a business and real estate lawyer with the firm for ten years before joining a local business as its COO and General Counsel in 2018. In that role, he was responsible for the day-to-day operations, financial reporting and planning, and all legal matters for an internationally renowned brewpub with three locations, more than 150 employees, and $10MM in annual revenues. Additionally, he was intimately involved in all areas of running the business, including managing strategic organizational growth and expansion, creating and improving company processes, overseeing completion of a $3MM buildout of new location, designing the financial tracking and reporting system, structuring employee compensation models, maintaining relationships with and engaging new lending, accounting, and tax teams, designing a system to calculate profit margins of different products and sales channels, and high level strategic planning.
Mr. Morrow utilizes his focused business experience to serve as Fractional General Counsel to clients, in which he provides regular guidance for a fixed monthly fee. The understanding and awareness gained from hands on experience running a complex business creates enormous value by recognizing and addressing issues before they become expensive problems. Regular Fractional General Counsel meetings also provide business owners the opportunity to think strategically and plan regarding issues that frequently are pushed aside by hectic management schedules, such as profit maximization, risk mitigation, financial planning, and growth strategies.
Mr. Morrow’s expertise includes major areas faced by businesses, including corporate formation and governance (entity selection and governing documents), employment issues (employment vs independent contractor, non-disclosure and non-compete issues), secured loan transactions (promissory notes, deeds of trust, UCC-1 filings), real estate issues (leasing and purchase and sale of real estate), construction (bidding management and oversight), mergers and acquisitions (preparation for and closing purchases and sales of businesses), strategic planning, and dispute resolution.
Mr. Morrow is a leader of the firm’s real estate practice. He is frequently involved on both the buyer’s and seller’s side of closing significant commercial real estate transactions, and the tenant’s and landlord’s side of leasing transactions.
Mr. Morrow was raised in Phoenix and received his A.B., cum laude, from Harvard University and his J.D., magna cum laude, from the Sandra Day O’Connor College of Law at Arizona State University. In his free time, Mr. Morrow enjoys international travel and is an avid soccer player. Mr. Morrow was a member of Harvard University’s Men’s Soccer team from 1999 to 2003.
